Section 01
Introduction
These Terms and Conditions (“Terms”) constitute a legally binding agreement between Carta Creations (“Company”, “We”, “Us”, “Our”) and every individual, customer, organization, studio, photographer, reseller, dealer or entity (“Customer”, “Client”, “You”, “Your”) who places an order for any product or service offered by Carta Creations.
These Terms govern the design, printing, production, customization, sale and delivery of all products and services offered by Carta Creations, including but not limited to wedding albums, photobooks, premium albums, coffee table books, photo frames, photo prints, wall décor, customized gifts and any other products introduced by the Company from time to time.
By placing an order, making any payment, approving any artwork, submitting photographs or accepting delivery of products, the Customer acknowledges that they have carefully read, understood and agreed to be legally bound by these Terms and Conditions.
Section 02
Definitions
- 2.1 “Company” means Carta Creations, including its proprietor, employees, representatives, successors and permitted assignments.
- 2.2 “Customer” means any individual, photographer, studio, dealer, reseller, corporate entity or organization placing an order with the Company.
- 2.3 “Products” include photo albums, wedding albums, photobooks, prints, frames, calendars, customized photo merchandise and all related products manufactured or supplied by the Company.
- 2.4 “Order” means every purchase request accepted by the Company either through physical or digital order forms, email, WhatsApp, website, telephone, social media platforms or any other communication channel.
- 2.5 “Artwork” includes photographs, logos, text, graphics, layouts, illustrations, designs, albums, templates and any digital content submitted by the Customer.
- 2.6 “Working Day” means any day excluding Sundays and Government-declared public holidays.
Section 03
Acceptance of Orders
- 3.1 Every order placed with Carta Creations shall be deemed to have been accepted only upon written confirmation from the Company.
- 3.2 Submission of an enquiry, quotation request or design discussion shall not constitute acceptance of an order.
- 3.3 Carta Creations reserves the absolute right to refuse, suspend or cancel any order without assigning any reason where: (a) the requested content violates any applicable law; (b) the submitted photographs or materials infringe the rights of any third party; (c) the Customer fails to comply with payment obligations; (d) the requested work is technically impractical or commercially unviable.
- 3.4 Quotations issued by Carta Creations shall remain valid only for the period specifically mentioned in the quotation. Prices may change thereafter without prior notice.
Section 04
Scope of Services
Carta Creations provides customized design, printing and manufacturing services including but not limited to wedding albums, premium flush mount albums, photobooks, photo prints, canvas prints, acrylic products, photo frames, coffee table books, calendars, wall décor, customized corporate gifts and any other personalized printing solutions.
The Company reserves the right to modify, discontinue or introduce new products and services at any time without prior notice.
The Company shall use commercially reasonable efforts to deliver products that conform to the specifications mutually agreed upon with the Customer.
Section 05
Customer Responsibilities
The Customer shall ensure that:
- 5.1 All photographs, logos, artwork and other materials supplied to the Company are genuine, accurate and suitable for printing.
- 5.2 The Customer possesses all necessary ownership rights, licences, permissions or authorizations required to reproduce, print and publish such materials.
- 5.3 The Company shall not be responsible for verifying ownership of any photograph or artwork submitted by the Customer.
- 5.4 The Customer shall indemnify and hold harmless Carta Creations from all claims, legal proceedings, damages, losses, penalties or expenses arising out of copyright infringement, trademark violations, privacy violations or any unlawful use of submitted content.
- 5.5 The Customer shall provide all necessary files, photographs and instructions within the timelines communicated by the Company.
Section 06
Designing and Artwork Approval
- 6.1 Upon receipt of the required photographs and content, Carta Creations shall prepare the album layout or design proof for Customer review.
- 6.2 Design proofs may be shared digitally through email, WhatsApp, cloud storage links or any other mutually agreed communication platform.
- 6.3 The Customer shall carefully verify the photograph sequence, spellings, dates, captions, names, colour preferences, layout, cropping and design elements before granting final approval.
- 6.4 Production shall commence only after receiving the Customer’s final approval.
- 6.5 Once approval has been provided, the Customer shall not be entitled to seek correction of spelling mistakes, image selection, page arrangement or any other design element without payment of applicable redesign charges.
- 6.6 Carta Creations shall not be responsible for any error that existed in the Customer-approved artwork.
Section 07
Pricing and Payment Terms
- 7.1 All prices quoted by Carta Creations are exclusive of applicable Government taxes unless specifically stated otherwise.
- 7.2 The Company may revise prices at any time prior to acceptance of an order.
- 7.3 Orders shall normally be processed only after receipt of the advance payment specified in the quotation or invoice.
- 7.4 The balance amount shall become payable immediately upon completion of production and prior to dispatch unless otherwise agreed in writing.
- 7.5 Delayed payments may result in postponement of production schedules, suspension of delivery or cancellation of pending orders.
- 7.6 The Company reserves the right to charge applicable interest on overdue payments where permissible under law.
Section 08
Production Timelines
- 8.1 Production timelines communicated by Carta Creations are approximate estimates and shall not constitute a guaranteed delivery commitment.
- 8.2 Production schedules may vary depending upon Customer approval delays, file corrections, material availability, machine maintenance, transportation issues, public holidays, natural disasters, government restrictions and any other events beyond the reasonable control of the Company.
- 8.3 Carta Creations shall make reasonable efforts to complete orders within the estimated delivery schedule but shall not be liable for delays caused by circumstances beyond its reasonable control.
- 8.4 Time shall not ordinarily be deemed to be the essence of the contract unless expressly agreed in writing by the Company.
Section 09
Printing Specifications and Quality Standards
- 9.1 Carta Creations shall use commercially accepted printing methods, materials and manufacturing processes for the production of customized photo products.
- 9.2 The Customer acknowledges that the final printed product may differ slightly from the digital preview due to variations in monitor calibration, printer technology, lighting conditions, paper texture, album material and other manufacturing factors.
- 9.3 Minor variations in colour, brightness, contrast, sharpness, trimming, alignment, binding, lamination and finishing shall be considered normal commercial tolerances and shall not be regarded as manufacturing defects.
- 9.4 Carta Creations reserves the right to substitute materials of equivalent quality whenever the originally selected material becomes unavailable due to circumstances beyond its control.
- 9.5 The Company shall make reasonable efforts to maintain consistent quality standards across all products; however, exact duplication of colours or textures from previously printed products cannot be guaranteed.
Section 10
Delivery, Collection and Risk Transfer
- 10.1 Delivery dates communicated by Carta Creations are estimated schedules and shall not constitute a legally binding commitment.
- 10.2 Products may be delivered through courier services, logistics partners, transport agencies or collected directly from the Company’s premises.
- 10.3 Risk in the Products shall pass to the Customer immediately upon delivery to the Customer, delivery to the Customer’s representative, handover to the nominated courier or transporter, or collection by the Customer.
- 10.4 The Customer shall inspect the Products immediately upon receipt and notify Carta Creations in writing of any visible damage, shortage or manufacturing defect within 48 hours of delivery.
- 10.5 Failure to notify the Company within the above period shall constitute acceptance of the Products in good condition.
- 10.6 Carta Creations shall not be responsible for delays or damages caused by third-party courier companies after dispatch.
Section 11
Inspection, Defects and Replacement
- 11.1 Every Product shall be deemed accepted unless the Customer reports a genuine manufacturing defect within forty-eight (48) hours of receipt.
- 11.2 The Company may require the Customer to provide photographs, videos or return the Product for inspection before deciding any replacement request.
- 11.3 Replacement shall be considered only where the Company determines that the defect resulted solely from its manufacturing process.
- 11.4 Replacement shall not be provided for Customer-approved design errors, spelling mistakes approved by the Customer, poor quality images supplied by the Customer, colour expectations differing from monitor display, accidental damage or improper handling after delivery.
- 11.5 Where replacement is approved, Carta Creations shall determine the appropriate corrective action, including repair, reprinting or replacement of the affected Product.
Section 12
Cancellation of Orders
- 12.1 Orders may be cancelled only before commencement of design work, subject to deduction of administrative expenses already incurred.
- 12.2 Once designing has commenced, cancellation shall be accepted only at the sole discretion of Carta Creations.
- 12.3 No cancellation shall ordinarily be permitted after design approval, commencement of printing, commencement of manufacturing or dispatch of Products.
- 12.4 Where cancellation is accepted after design work has commenced, the Customer shall pay all costs incurred up to the date of cancellation.
Section 13
Refund Policy
- 13.1 Since all Products manufactured by Carta Creations are customized according to Customer specifications, they are generally non-refundable.
- 13.2 Refunds shall be considered only where the Company is unable to execute the order, the Company cancels the order without Customer default, or any other circumstance expressly approved by the Management.
- 13.3 Approved refunds shall be processed using the original payment method wherever reasonably possible.
- 13.4 Refund processing time may vary depending upon banking procedures and payment gateway policies.
Section 14
Customer Obligations After Delivery
- 14.1 The Customer shall store the Products in clean, dry conditions away from excessive moisture, direct sunlight and extreme temperatures.
- 14.2 The Company shall not be responsible for deterioration caused by improper storage, mishandling, exposure to water, fire, chemicals or physical damage after delivery.
- 14.3 Albums, frames and printed materials should be handled carefully to avoid scratches, bending or tearing.
- 14.4 The Company shall not be responsible for damage caused by children, pets, insects or environmental conditions after delivery.
Section 15
Intellectual Property Rights
- 15.1 All proprietary software, templates, layouts, catalogue designs, branding materials, artwork formats and creative concepts developed by Carta Creations shall remain the exclusive intellectual property of the Company unless otherwise agreed in writing.
- 15.2 Nothing contained in these Terms shall transfer ownership of the Company’s intellectual property to the Customer.
- 15.3 The Customer shall not reproduce, copy, modify, distribute or commercially exploit the Company’s proprietary templates or designs without prior written consent.
- 15.4 The Company retains the right to use its own trademarks, logos and branding in connection with its business operations.
Section 16
Confidentiality and Privacy
- 16.1 Carta Creations shall take reasonable measures to maintain the confidentiality of Customer photographs and personal information.
- 16.2 Customer information shall be used solely for order processing, communication, billing, delivery and legal compliance.
- 16.3 The Company shall not disclose Customer information to third parties except logistics partners, payment service providers, statutory authorities, legal advisors, or where required by applicable law.
- 16.4 Reasonable administrative, technical and organizational safeguards shall be maintained to protect Customer information against unauthorized access, misuse or disclosure.
- 16.5 The Customer acknowledges that electronic communication and internet transmission involve inherent security risks, and the Company shall not be liable for events beyond its reasonable control.
Section 17
Limitation of Liability
- 17.1 To the maximum extent permitted under applicable law, the total liability of Carta Creations arising out of or in connection with any order, product or service shall not exceed the total invoice value of the specific order giving rise to the claim.
- 17.2 Under no circumstances shall Carta Creations be liable for any indirect, incidental, consequential, exemplary, punitive or special damages including, but not limited to, loss of business, loss of revenue, loss of profits, loss of goodwill, emotional distress, loss of photographs not caused by the Company, and delay in ceremonies, functions or events.
- 17.3 The Company shall not be liable for defects or losses resulting from photographs supplied by the Customer in low resolution, inaccurate information provided by the Customer, improper storage or handling after delivery, customer-approved artwork, or acts or omissions of third-party courier agencies.
- 17.4 The Customer agrees that the remedies expressly provided under these Terms shall constitute the sole and exclusive remedies available against Carta Creations.
Section 18
Indemnification
- 18.1 The Customer agrees to indemnify, defend and hold harmless Carta Creations, its proprietors, directors, partners, employees, representatives and affiliates from and against any claims, proceedings, liabilities, damages, penalties, losses, costs and expenses (including reasonable legal fees) arising out of or relating to infringement of copyright, trademark violations, privacy rights, unlawful or defamatory content, breach of these Terms, or misuse of the Company’s products or services.
- 18.2 The obligations contained in this clause shall survive completion, cancellation or termination of the Order.
Section 19
Force Majeure
- 19.1 Carta Creations shall not be liable for any delay, failure or inability to perform its obligations where such delay or failure results from events beyond its reasonable control.
- 19.2 Such events include, without limitation, floods, earthquakes, fire, epidemics or pandemics, war, civil disturbances, strikes, transport disruptions, power failures, governmental restrictions, shortages of raw materials, and failure of suppliers or logistics providers.
- 19.3 Where any Force Majeure event continues for an extended period, Carta Creations shall be entitled to suspend or cancel the affected order without incurring liability.
Section 20
Governing Law and Dispute Resolution
- 20.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India.
- 20.2 The Parties shall endeavour to resolve any dispute amicably through mutual discussions.
- 20.3 If the dispute cannot be resolved amicably within thirty (30) days, either Party may seek appropriate legal remedies before the competent courts having jurisdiction at Chennai, Tamil Nadu.
- 20.4 The Customer irrevocably agrees that the Courts situated at Chennai alone shall have exclusive jurisdiction in respect of all disputes arising from these Terms and Conditions.
Section 21
Amendments, Severability and Entire Agreement
- 21.1 Amendments: Carta Creations reserves the right to amend, modify or update these Terms and Conditions at any time without prior notice. Revised Terms shall become effective from the date specified therein.
- 21.2 Severability: If any provision of these Terms is declared invalid, illegal or unenforceable by a competent court, the remaining provisions shall continue to remain valid and enforceable.
- 21.3 Waiver: Failure by Carta Creations to enforce any provision of these Terms shall not constitute a waiver of its right to subsequently enforce the same or any other provision.
- 21.4 Entire Agreement: These Terms and Conditions constitute the complete understanding between the Company and the Customer relating to the products and services supplied by Carta Creations and supersede all prior oral or written communications relating thereto.
